Terms & Conditions

These Terms & Conditions ("Terms") set out the agreement between you and Supa Red Ltd. ("Supa", "we", "our", or "us") when you access or use our websites, waitlists, products, and related services (collectively, the "Services"). By using the Services, you agree to be bound by these Terms. If you do not agree, you must discontinue use immediately.

1. Eligibility

You must be at least 18 years old and have the authority to enter into these Terms on behalf of yourself or the organization you represent. You agree to provide accurate information when interacting with us and to keep that information up to date.

2. Account Registration and Security

When you request access to Supa or join a waitlist, you may be asked to provide certain information. You are responsible for maintaining the confidentiality of any credentials associated with your use of the Services and for all activities that occur under those credentials. Notify us immediately if you believe your account or information has been compromised.

3. Permitted Use

You agree to use the Services only for lawful business purposes and in accordance with applicable laws and regulations, including sanctions, anti-money laundering, and counter-terrorist financing requirements. You must not misuse the Services, interfere with their operation, or attempt to gain unauthorized access to any systems or networks connected to Supa.

4. Intellectual Property

Supa and its licensors retain all rights, title, and interest in and to the Services, including trademarks, logos, product names, software, and content. Except as expressly permitted, you may not copy, modify, distribute, sell, or lease any part of the Services, nor reverse engineer or attempt to extract source code.

5. Third-Party Services

The Services may reference or integrate with third-party services. Supa is not responsible for third-party content, policies, or actions. Your use of third-party services is governed by their own terms and privacy policies.

6. Disclaimers

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Supa disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Services will be uninterrupted, secure, or error-free.

7. Limitation of Liability

To the maximum extent permitted by law, Supa shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services. Our total liability for any claim arising under these Terms shall not exceed the amount you paid to Supa for use of the Services during the six months preceding the event giving rise to the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless Supa, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from your use of the Services, your violation of these Terms, or your infringement of any third-party rights.

9. Suspension and Termination

We may suspend or terminate your access to the Services at any time if we believe you have violated these Terms, engaged in fraudulent or unlawful activity, or if required by law or regulatory authorities. You may terminate your engagement with Supa at any time by notifying us and ceasing use of the Services.

10. Changes to the Services and Terms

We may modify the Services or these Terms from time to time. When we make material changes, we will provide notice by updating the date at the top of this page and, where appropriate, by sending additional communications. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

11. Governing Law

These Terms and any disputes arising out of or in connection with them are governed by the laws of Hong Kong. The courts of Hong Kong shall have exclusive jurisdiction, except where applicable law provides otherwise.
